Terms of Service

1. Provider and scope
FormFill (forms.baldin.io) is operated by Baldin & Friends, owner David Baldin, Paul-Gerhardt-Straße 16A, 01309 Dresden, Germany (“we”). These terms govern the use of the service through the dashboard and the API.
The service is directed exclusively at businesses within the meaning of § 14 of the German Civil Code (BGB), public authorities and other organizations — not at consumers. By registering, you confirm that you are acting in the exercise of your trade, business or profession.
2. The service
FormFill fills PDF forms automatically: native AcroForm PDFs, scans aligned against a registered template, and static XFA hybrids. Dynamic XFA forms are refused (HTTP 422) rather than filled incorrectly.
The scope of functionality follows from the current product description. We develop the service continuously and may change features to a reasonable extent as long as the purpose of the contract is preserved.
3. Account and API keys
Keep credentials and API keys secret. Keys are stored only as hashes and displayed once. Actions performed with your credentials or keys are attributed to you until you revoke the key or reset the password.
4. Fees
FormFill offers a free tier (currently 10 documents per month), which remains free of charge, and paid plans (Starter, Business) with a monthly fee plus usage-based charges for documents beyond the included quota, as shown in the price list at forms.baldin.io/pricing. All prices are net of statutory VAT.
Paid usage arises only through your explicit booking of a plan (checkout), never automatically. Changes to the fees of a plan you have booked will be announced at least 30 days in advance.
Monthly base fees are billed in advance, usage-based charges at the end of the respective billing period; payment is processed by our payment service provider Stripe (see the Privacy Policy). Only successfully processed documents count toward the included quota and usage-based charges — failed runs are free of charge.
5. Your obligations
When using FormFill you agree to the following:
- You upload only content you are entitled to process, and you process personal data of third parties only on a valid legal basis (a data processing agreement is available on request).
- No unlawful content, no malware, no attacks on the service.
- The documented limits (currently 60 fills per minute per key, 20 MB per file) must not be circumvented.
- No reverse engineering, sublicensing or resale of the service; mandatory statutory rights (§ 69e of the German Copyright Act) remain unaffected.
6. Reviewing results
Filled forms are machine-generated drafts. Review results before using them — especially before submitting them to public authorities or contractual partners. The per-field report that ships with every run (confidence, provenance, “needs review”) supports you in this. FormFill does not provide legal or tax advice.
7. Availability
We aim for high availability. A specific availability level (SLA) is not owed unless expressly agreed in writing; the free tier carries no availability commitment. Maintenance windows and ongoing development may cause short interruptions.
8. Intellectual property
FormFill is proprietary software, not an open-source product. For the term of the contract you receive the non-exclusive, non-transferable right to use the service for your own business purposes. There is no entitlement to source code, self-hosting or redistribution.
Your documents and data remain yours. We receive only the processing rights required to provide the service; your content is never used to train models.
9. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act. Claims under Art. 82 GDPR remain unaffected.
For simple negligence we are liable only for the breach of essential contractual obligations (cardinal obligations), limited to the foreseeable damage typical of the contract. Any further liability is excluded; for services provided free of charge we are liable only for intent and gross negligence.
We accept no responsibility for the substantive correctness of the mapping of values to form fields where you use results without the review required by section 6.
10. Data protection
Details of how personal data is processed are set out in our Privacy Policy. Business customers can conclude a data processing agreement pursuant to Art. 28 GDPR with us on request.
11. Term and termination
You can delete your account in the dashboard at any time or terminate informally. We may terminate the contract with 30 days' notice, and may suspend access without notice in the event of abuse or legal violations. Upon termination your data is deleted as described in the Privacy Policy.
Cancellation of a paid plan (possible at any time via the billing page in the dashboard) takes effect at the end of the current billing period; fees already paid for that period are not refunded — afterwards your account continues on the free tier.
12. Changes to these terms
We announce changes at least 14 days before they take effect, by email or in the dashboard. If you do not object before the effective date or continue to use the service afterwards, the changes are deemed accepted; we will point this out in the announcement.
13. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Dresden, provided you are a merchant, a legal entity under public law or a special fund under public law.
Should individual provisions be invalid, the remainder of the contract remains in effect. In case of discrepancies between the German and the English version of these terms, the German version prevails.
